These Terms of Use & Conditions of Sale (“Terms”) govern access to and use of the Helitex website, including helitex.co (the “Site”), and all purchases of products or materials offered through the Site.
The Site and its products are operated and offered by Zebe Holdings, LLC, a South Dakota limited liability company (“Zebe Holdings,” “Helitex,” “Company,” “we,” “us,” or “our”).
By accessing the Site, creating an account, submitting information, placing an order, or purchasing any product through the Site, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies incorporated into these Terms.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS THE SITE OR PURCHASE ANY PRODUCT.
1. RESEARCH USE ONLY
Helitex supplies materials designated for research, laboratory, analytical, educational, or other lawful scientific research purposes only (“Research Use Only” or “RUO”).
Unless expressly stated otherwise in writing by Helitex, products offered through the Site are not sold, represented, labeled, or intended for:
human consumption or administration;
veterinary consumption or administration;
diagnosis of disease;
treatment of disease;
prevention of disease;
mitigation of disease;
clinical use;
therapeutic use;
medical use;
cosmetic use;
dietary supplementation;
food use;
personal wellness use;
athletic-performance use;
weight-loss use;
anti-aging use;
bodybuilding or physique enhancement;
self-experimentation; or
any other use involving administration to or consumption by a human or animal.
Nothing on the Site is intended to constitute medical advice, pharmaceutical advice, clinical guidance, treatment guidance, dosage guidance, administration instructions, or a recommendation to use any product in or on a human or animal.
Products are not offered as drugs, medicines, dietary supplements, foods, or medical devices.
The purchaser is solely responsible for determining whether a product is appropriate and lawful for the purchaser's intended research application.
2. IMPORTANT REGULATORY NOTICE
Products offered through the Site may not have been evaluated or approved by the U.S. Food and Drug Administration (“FDA”) or any other governmental or regulatory authority for human or veterinary use.
Nothing contained on the Site should be interpreted as a representation that any product:
has been approved by the FDA;
is safe or effective for human use;
is safe or effective for veterinary use;
is intended for human or veterinary administration;
may lawfully be marketed as a drug, medicine, supplement, or therapeutic product; or
may lawfully be used outside legitimate research applications.
Helitex does not represent that any product is appropriate for any particular research protocol, experiment, institution, jurisdiction, or application.
Where applicable, purchasers are responsible for reviewing applicable federal, state, local, international, institutional, laboratory, biosafety, chemical-safety, and other requirements before purchasing or using any product.
3. NO HUMAN OR ANIMAL USE
ABSOLUTELY NO HUMAN OR ANIMAL USE IS AUTHORIZED.
Purchasing, possessing, handling, storing, testing, transferring, or otherwise obtaining a product from Helitex does not create any permission, license, authorization, recommendation, or implied approval to administer, ingest, inject, inhale, apply, implant, or otherwise introduce the product into a human or animal.
Helitex does not provide instructions for human or veterinary administration.
Helitex does not provide:
dosing schedules;
dosage recommendations;
injection protocols;
reconstitution instructions for administration;
routes of administration;
cycling protocols;
therapeutic protocols;
treatment protocols;
disease-specific protocols; or
instructions intended to facilitate human or veterinary use.
Any information supplied by Helitex concerning chemical identity, analytical characteristics, storage, handling, or laboratory research is provided solely to facilitate legitimate research activity and must not be interpreted as instructions for human or veterinary use.
4. PURCHASER REPRESENTATIONS AND WARRANTIES
By accessing the Site or placing an order, you represent and warrant that:
You are at least 21 years of age.
You are legally capable of entering into a binding agreement.
You are purchasing products solely for lawful research purposes.
You will not use, administer, consume, or cause any product to be used or administered in or on a human or animal.
You will not purchase products on behalf of a person intending to use them for human or veterinary purposes.
You will comply with all applicable laws, regulations, ordinances, institutional requirements, laboratory requirements, and safety requirements.
You will maintain appropriate facilities, equipment, personnel, training, and procedures for the lawful handling and use of research materials.
You will not resell, redistribute, relabel, repackage, or otherwise transfer products in a manner inconsistent with these Terms or applicable law.
You will not make representations concerning Helitex products that are inconsistent with their designated research purpose.
You will not use information obtained from Helitex to facilitate unlawful human or veterinary use.
You are not prohibited from purchasing or possessing the applicable material under the laws applicable to you.
All information supplied to Helitex in connection with an order or account is accurate and complete.
Helitex may rely upon these representations when accepting an order.
5. AGE AND RESEARCHER VERIFICATION
Helitex reserves the right to require purchasers to verify:
age;
identity;
research status;
institutional affiliation;
business affiliation;
intended research purpose;
jurisdiction;
shipping destination;
regulatory eligibility; or
any other information reasonably necessary to determine whether an order may lawfully be accepted.
Helitex may require additional documentation or information before accepting or fulfilling an order.
Helitex may refuse, cancel, or place on hold any order where it reasonably believes that:
the purchaser is under 21;
the purchaser has provided inaccurate information;
the purchaser intends human or veterinary use;
the order presents regulatory, legal, payment-processing, shipping, or compliance concerns;
the product cannot lawfully be shipped to the destination;
the transaction appears fraudulent or suspicious; or
fulfillment could expose Helitex or its service providers to unreasonable legal or regulatory risk.
Helitex is not required to disclose confidential fraud-detection, compliance, underwriting, or risk-management criteria.
6. LAWFUL USE REQUIREMENT
You may access and use the Site only for lawful purposes.
You agree not to:
violate any applicable law or regulation;
purchase products for unauthorized human or veterinary use;
circumvent age or researcher verification;
provide false or misleading information;
use another person's account without authorization;
attempt to evade geographic restrictions;
interfere with Site security;
scrape, crawl, or harvest Site content without authorization;
introduce malicious software;
interfere with Site operation;
impersonate another person or entity;
use the Site to facilitate unlawful transactions;
resell products in violation of applicable law; or
otherwise use the Site or products in a manner prohibited by these Terms.
7. PRODUCT INFORMATION
Helitex endeavors to provide accurate product descriptions, specifications, photographs, labels, lot information, and other technical information.
However:
product appearance may vary;
packaging may change;
product specifications may change;
manufacturers or suppliers may change;
availability may change;
product information may contain inadvertent errors; and
information may not reflect every characteristic relevant to a particular research application.
Product names may be used for identification, cataloging, or research-reference purposes and do not constitute representations concerning therapeutic efficacy, safety, medical use, or clinical suitability.
Helitex makes no representation that a product will produce any particular experimental result.
8. CERTIFICATES OF ANALYSIS
Where a Certificate of Analysis (“COA”) is provided, the COA is supplied as analytical documentation concerning the applicable lot or batch.
A COA does not constitute:
FDA approval;
clinical validation;
therapeutic validation;
a guarantee of safety for humans or animals;
a guarantee that a product is appropriate for a particular experiment;
a representation that a product is sterile unless expressly stated in the applicable documentation;
a representation that a product is suitable for injection or administration; or
permission to use the product outside its stated research purpose.
COAs may be provided by Helitex, a manufacturer, distributor, supplier, or independent analytical laboratory, as applicable.
Purchasers are responsible for reviewing the applicable COA and determining whether the analytical information is sufficient for their intended lawful research.
9. PRODUCT QUALITY AND CONDITION
Unless expressly stated otherwise in writing, products are provided on an “AS IS” and “AS AVAILABLE” basis to the maximum extent permitted by applicable law.
Helitex does not warrant that every product will be:
suitable for every research application;
uninterrupted or error-free;
compatible with every laboratory protocol;
free from all impurities;
suitable for human or veterinary use;
suitable for clinical use; or
capable of producing any particular research result.
Any quality specifications expressly stated by Helitex apply only to the particular product and lot for which they are stated and are subject to the applicable documentation.
10. ORDER ACCEPTANCE
Submitting an order constitutes an offer to purchase.
An order confirmation does not necessarily constitute final acceptance of the order.
Helitex reserves the right to accept, reject, limit, cancel, or place on hold any order at any time before shipment, including where necessary to comply with applicable law or internal compliance requirements.
If Helitex cancels an order after payment has been received, Helitex will generally issue a refund to the original payment method, subject to applicable payment-provider requirements and any applicable fraud or chargeback investigation.
11. PRICING
Prices displayed on the Site are subject to change without notice.
Helitex reserves the right to correct:
pricing errors;
typographical errors;
product-description errors;
promotional errors;
shipping errors; and
other Site inaccuracies.
If an order is affected by a material pricing or product error, Helitex may cancel the affected order and provide a refund.
12. PAYMENTS
Purchasers must provide valid payment information and have authorization to use the selected payment method.
Helitex may use third-party payment processors, merchant acquirers, gateways, fraud-prevention providers, and financial institutions.
By submitting payment information, you authorize Helitex and its payment service providers to process the transaction associated with your order.
Helitex may decline or cancel transactions that appear fraudulent, unauthorized, prohibited, suspicious, or otherwise inconsistent with applicable law or payment-provider requirements.
13. CHARGEBACKS AND PAYMENT DISPUTES
Before initiating a payment dispute or chargeback, purchasers agree to contact Helitex and provide a reasonable opportunity to investigate and resolve the issue.
Nothing in this section limits any rights that cannot lawfully be waived.
Fraudulent or abusive chargebacks may result in:
account suspension;
order cancellation;
cancellation of pending orders;
restriction from future purchases;
referral to payment processors or appropriate authorities where warranted; and
pursuit of remedies available under applicable law.
14. SHIPPING
Shipping dates are estimates and are not guaranteed unless expressly agreed to in writing.
Helitex is not responsible for delays caused by:
carriers;
weather;
customs;
governmental action;
regulatory restrictions;
incorrect addresses;
carrier service interruptions;
natural disasters;
labor disruptions;
force majeure events; or
other circumstances outside Helitex's reasonable control.
The purchaser is responsible for providing an accurate shipping address.
Helitex may refuse to ship to certain jurisdictions, addresses, freight-forwarding arrangements, military addresses, international destinations, or other locations where fulfillment presents legal, regulatory, carrier, or operational concerns.
15. INTERNATIONAL ORDERS
International purchasers are solely responsible for determining whether products may lawfully be purchased, possessed, imported, exported, transported, or used for lawful research within their jurisdiction.
International purchasers are responsible for:
import requirements;
customs requirements;
duties;
taxes;
permits;
licenses;
registrations;
restrictions;
declarations; and
other governmental requirements.
Helitex does not guarantee that an international shipment will clear customs.
Helitex may cancel or refuse an international order where applicable law, carrier restrictions, sanctions, export controls, customs requirements, or compliance concerns make fulfillment inappropriate.
16. RETURNS, REFUNDS, AND ORDER ISSUES
Because certain research materials may be temperature-sensitive, chemically sensitive, or otherwise unsuitable for resale after shipment, Helitex may restrict returns.
Unless otherwise required by applicable law or expressly stated in a written refund policy:
opened products are not returnable;
used products are not returnable;
products that have been improperly stored are not returnable;
products altered or handled by the purchaser are not returnable; and
unauthorized returns may be rejected.
Any damaged, incorrect, missing, or materially defective shipment should be reported to Helitex promptly after delivery with the applicable order information and supporting documentation.
Helitex reserves the right to investigate claims before issuing a replacement or refund.
17. STORAGE AND HANDLING
Purchasers are solely responsible for proper storage, transportation, handling, containment, labeling, and disposal of research materials after delivery.
Purchasers must follow applicable laboratory, chemical-safety, biosafety, institutional, environmental, and regulatory requirements.
Helitex does not assume responsibility for deterioration or damage resulting from:
improper storage;
improper temperature;
exposure to light;
moisture;
contamination;
improper transportation;
improper handling;
unauthorized alteration; or
other conditions occurring after delivery.
18. NO MEDICAL OR PROFESSIONAL ADVICE
Nothing on the Site constitutes medical, pharmaceutical, veterinary, legal, financial, or other professional advice.
Helitex does not diagnose medical conditions, recommend treatments, recommend therapies, prescribe products, or provide clinical guidance.
Questions involving human or animal health should be directed to an appropriately licensed professional.
Questions concerning legal or regulatory requirements should be directed to qualified legal counsel or the appropriate governmental authority.
19. PROHIBITED MARKETING AND USE OF HELITEX MATERIALS
You may not use Helitex product names, descriptions, images, COAs, trademarks, logos, or other materials to advertise or represent that a product:
treats a disease;
prevents a disease;
cures a disease;
diagnoses a disease;
produces a therapeutic benefit;
produces a cosmetic benefit;
causes weight loss;
enhances athletic performance;
improves human health;
replaces a prescription drug;
is safe for human administration;
is approved for human use; or
is otherwise intended for human or veterinary use.
You may not represent yourself as an authorized Helitex representative, distributor, manufacturer, laboratory, partner, or affiliate without written authorization.
20. THIRD-PARTY CONTENT AND LINKS
The Site may contain links to third-party websites, laboratories, manufacturers, suppliers, service providers, payment processors, or other resources.
Helitex does not control and is not responsible for third-party content, policies, products, services, availability, security, or practices.
Accessing third-party websites is at your own risk.
21. INTELLECTUAL PROPERTY
The Site and its contents, including without limitation:
text;
logos;
trademarks;
product photography;
graphics;
videos;
designs;
layouts;
software;
databases;
documents;
COA presentation systems;
branding;
trade dress; and
other materials
are owned by or licensed to Zebe Holdings, LLC and are protected by applicable intellectual-property laws.
Except as expressly permitted in writing, you may not reproduce, distribute, modify, copy, publish, sell, license, create derivative works from, or commercially exploit Site content.
Nothing in these Terms grants you any ownership interest in Helitex intellectual property.
22. USER ACCOUNTS
If the Site permits account creation, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account.
You agree to:
provide accurate information;
maintain current information;
use a secure password;
protect account credentials;
promptly notify Helitex of unauthorized access; and
not share your account with unauthorized individuals.
Helitex may suspend or terminate an account where it reasonably believes that the account is being used fraudulently, unlawfully, inconsistently with these Terms, or in a manner creating legal or regulatory risk.
23. SUSPENSION AND TERMINATION
Helitex may suspend or terminate your access to the Site or refuse future transactions at any time where reasonably necessary to:
enforce these Terms;
protect Helitex;
protect customers;
comply with law;
respond to regulatory requirements;
investigate suspected fraud;
prevent prohibited use;
protect payment relationships;
protect shipping relationships; or
address security concerns.
Termination does not eliminate obligations that by their nature should survive termination.
24. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND PRODUCTS ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR PERFORMANCE.
HELIITEX DOES NOT WARRANT THAT:
THE SITE WILL ALWAYS BE AVAILABLE;
THE SITE WILL BE ERROR-FREE;
INFORMATION WILL ALWAYS BE COMPLETE OR CURRENT;
PRODUCTS WILL PRODUCE PARTICULAR RESEARCH RESULTS;
PRODUCTS WILL BE SUITABLE FOR A PARTICULAR EXPERIMENT; OR
THE SITE OR PRODUCTS WILL SATISFY A PARTICULAR PURCHASER'S REQUIREMENTS.
Nothing in these Terms excludes a warranty that cannot legally be excluded.
25. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEBE HOLDINGS, LLC, HELITEX, AND THEIR RESPECTIVE OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, SERVICE PROVIDERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO:
USE OF THE SITE;
INABILITY TO USE THE SITE;
PURCHASE OF PRODUCTS;
HANDLING OF PRODUCTS;
STORAGE OF PRODUCTS;
RESEARCH INVOLVING PRODUCTS;
SHIPPING;
DELAYS;
PRODUCT MISUSE;
UNAUTHORIZED USE;
THIRD-PARTY SERVICES; OR
ANY OTHER MATTER ARISING FROM THE TRANSACTION,
EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ZEBE HOLDINGS, LLC AND HELITEX ARISING OUT OF OR RELATING TO A PRODUCT OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY THE PURCHASER FOR THE SPECIFIC PRODUCT OR TRANSACTION GIVING RISE TO THE CLAIM.
Nothing in this section limits liability that cannot legally be limited or excluded.
26. PURCHASER INDEMNIFICATION
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Zebe Holdings, LLC, Helitex, and their respective owners, members, managers, officers, employees, contractors, agents, suppliers, affiliates, and service providers from claims, damages, losses, liabilities, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
your violation of these Terms;
your violation of applicable law;
your misuse or unauthorized use of any product;
human or veterinary use of any product;
your representations concerning a Helitex product;
your resale or redistribution of products;
your breach of any representation or warranty;
your fraudulent or unauthorized use of the Site; or
your negligence or willful misconduct.
27. FORCE MAJEURE
Helitex shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including:
natural disasters;
severe weather;
fire;
flood;
epidemic or pandemic;
war;
terrorism;
civil unrest;
governmental action;
regulatory action;
customs restrictions;
carrier interruption;
labor disputes;
supplier interruption;
telecommunications failures;
cybersecurity events;
power failures; or
other events beyond reasonable control.
28. COMPLIANCE WITH LAWS
You are solely responsible for determining and complying with laws applicable to your purchase, possession, transportation, storage, research, handling, and disposal of any product.
This includes applicable:
federal laws;
state laws;
local laws;
institutional rules;
laboratory rules;
export-control requirements;
import requirements;
sanctions;
customs requirements; and
other regulatory requirements.
Helitex does not provide legal advice concerning the legality of a particular research application.
29. EXPORT CONTROLS AND SANCTIONS
You may not purchase, transfer, export, re-export, or otherwise use products in violation of applicable export-control laws, sanctions, embargoes, or governmental restrictions.
Helitex may refuse transactions involving jurisdictions, individuals, organizations, addresses, or transactions that present sanctions, export-control, customs, or compliance concerns.
30. ELECTRONIC COMMUNICATIONS
By using the Site or communicating electronically with Helitex, you consent to receive electronic communications concerning:
orders;
account activity;
transactions;
customer service;
policies;
security;
legal notices; and
other transactional matters.
Electronic communications satisfy any legal requirement that such communications be provided in writing, to the extent permitted by law.
31. PRIVACY
Use of the Site is also governed by Helitex's Privacy Policy.
The Privacy Policy describes how information may be collected, used, disclosed, retained, and protected.
The Privacy Policy is incorporated into these Terms by reference.
32. CHANGES TO THESE TERMS
Helitex reserves the right to modify these Terms at any time.
Updated Terms become effective when posted to the Site unless otherwise stated.
Your continued use of the Site after revised Terms are posted constitutes acceptance of the revised Terms to the extent permitted by law.
For material changes, Helitex may provide additional notice where appropriate.
33. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
34. NO WAIVER
Failure by Helitex to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision later.
A waiver must be expressly provided in writing by an authorized representative of Helitex.
35. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without Helitex's prior written consent.
Helitex may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or other business transaction.
36. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Helitex concerning your use of the Site and purchases made through the Site, except where a separate written agreement expressly governs a particular transaction.
37. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota, without regard to conflict-of-law principles, except to the extent federal law controls or applicable law requires otherwise.
38. DISPUTE RESOLUTION
Before filing a formal legal proceeding, the parties agree to make a good-faith effort to resolve any dispute through written notice and informal discussion.
A party asserting a dispute shall provide written notice describing:
the nature of the dispute;
the relevant transaction or conduct;
the requested resolution; and
reasonable supporting information.
The parties shall have at least thirty (30) days after receipt of such notice to attempt an informal resolution before initiating litigation, unless emergency relief or another exception is reasonably necessary.
Nothing in this provision prevents a party from seeking temporary or injunctive relief where necessary to protect intellectual property, confidential information, security, or other rights for which immediate relief may be appropriate.
39. CLASS ACTION WAIVER
To the maximum extent permitted by applicable law, claims arising from or relating to the Site, products, or these Terms shall be brought individually and not as a plaintiff or class member in a class, collective, consolidated, or representative action.
Nothing in this provision waives any right that cannot legally be waived.
40. VENUE
To the extent litigation is permitted under these Terms, and subject to applicable law, the parties agree that an appropriate state or federal court located in South Dakota shall have jurisdiction over disputes arising from or relating to these Terms, the Site, or transactions with Helitex.
41. SURVIVAL
The following provisions shall survive termination of these Terms where applicable:
Research Use Only restrictions;
purchaser representations;
lawful-use requirements;
intellectual-property provisions;
disclaimers;
limitations of liability;
indemnification;
dispute-resolution provisions;
governing-law provisions; and
any other provision that by its nature should survive termination.

43. PURCHASER ACKNOWLEDGMENT
BY ACCESSING THIS SITE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT:
